1. Introduction
These Terms of Use (“Terms”) govern the access and use of the open banking APIs provided by Cashful (“we,” “us,” “our”). By accessing or using our APIs, you (“Client,” “you,” “your”) agree to comply with these Terms. If you do not agree to these Terms, you may not use our APIs.
2. API Services
Cashful provides the following API services:
• Financial Data APIs: Including, but not limited to, transactions, balance inquiries, and account authentication.
• Payment APIs: Including, but not limited to, pay-ins and pay-outs.
3. Account Registration
To access our APIs, you must register for an account. You agree to provide accurate and complete information during the registration process and to update such information as necessary.
4. Usage and Access
• API Keys: Upon registration, you will receive API keys that are unique to your account. You are responsible for maintaining the confidentiality of these keys and for all activities that occur under your account.
• Compliance: You agree to use the APIs only for lawful purposes and in accordance with these Terms.
5. Financial Data APIs Usage
• Funding Your Wallet: To use the Financial Data APIs, you are required to pre-fund a wallet in your account. The wallet balance will be used to pay for each API call you make.
• Charges and Billing: Charges for Financial Data API calls are deducted from your wallet on a per-call basis. The cost per API call will be specified in the API documentation or communicated to you.
• Non-Refundable: All charges incurred for API calls are non-refundable, regardless of whether the API call was successful or not.
• Wallet Balance: You are responsible for maintaining a sufficient balance in your wallet. If your wallet balance is insufficient, your access to the Financial Data APIs may be suspended until additional funds are added.
6. Payment APIs Usage
• Transaction Processing: You may use the Payment APIs to facilitate pay-ins and pay-outs. You are responsible for ensuring that all payment instructions provided through the APIs are accurate and authorized.
• Fees: Transaction fees for Payment API usage will be specified in the API documentation or communicated to you. These fees may vary based on transaction volume, type, and other factors.
7. Security and Data Privacy
• Security Measures: You agree to implement and maintain industry-standard security measures to protect the data accessed and transmitted via our APIs.
• Data Privacy: You are responsible for ensuring that any data collected or processed using our APIs complies with applicable data protection laws and regulations. Cashful will not be responsible for any data breaches or privacy violations that occur as a result of your use of the APIs.
8. Termination
• Termination by Cashful: We may terminate or suspend your access to the APIs at any time, with or without notice, if you breach these Terms or if we determine that your use of the APIs is unlawful or harmful to our interests.
• Termination by You: You may terminate your use of the APIs at any time by discontinuing access and use. Any outstanding balances in your wallet will not be refunded upon termination.
9. Limitation of Liability
• No Warranty: The APIs are provided “as is” and “as available,” without any warranties of any kind, express or implied. We do not warrant that the APIs will be uninterrupted, error-free, or secure.
• Limitation of Liability: In no event shall Cashful be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the APIs, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Cashful, its affiliates, and its employees from any claims, damages, liabilities, or expenses arising from your use of the APIs, your breach of these Terms, or your violation of any rights of a third party.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from or related to these Terms shall be resolved through binding arbitration in South Africa, except for claims that may be brought in small claims court.
12. Changes to These Terms
We may update these Terms from time to time. Any changes will be effective upon posting the updated Terms on our website or through the API portal. Your continued use of the APIs after the changes are posted constitutes your acceptance of the revised Terms.
